Terms of Service

These Terms of Service ("Terms") govern your use of the services and website at https://www.ridgestone.co provided by Ridgestone Growth ("Ridgestone Growth", "we", "us"). By engaging our services or using our website, you agree to these Terms. If you do not agree, do not use our services.

Ridgestone Growthprovides lead generation and advertising management services to business clients. Our services include setting up, operating, monitoring, and optimizing advertising campaigns on a client's behalf, and reporting on their performance.

By engaging our services, the client authorizes Ridgestone Growthto manage advertising on the client's behalf, including accessing the advertising accounts the client connects for this purpose. The client remains the owner of their advertising accounts and may withdraw this authorization at any time by notifying us or by disconnecting the account.

The client is responsible for:

• Funding their own advertising spend.Amounts paid to advertising platforms are the client's responsibility and are separate from any fees payable to Ridgestone Growth.
• Providing accurate information. The client must provide accurate, current, and complete information about their business, and keep it up to date, so that we can deliver our services properly.
• Compliance. Ensuring that the products, services, and claims they ask us to advertise comply with applicable laws and with the policies of the advertising platforms used.

Advertising performance depends on many factors outside our control, including platform behaviour, auction dynamics, competition, market conditions, seasonality, and the client's own operations and pricing. Ridgestone Growth does not guarantee any specific advertising results, including any particular number of leads, calls, conversions, sales, cost per result, or return on ad spend. Any projections or examples we provide are illustrative only and are not a promise of performance.

Fees for our services are as agreed in writing between Ridgestone Growthand the client. Unless otherwise agreed, fees are separate from, and do not include, the client's advertising spend paid to advertising platforms.

To the maximum extent permitted by applicable law, Ridgestone Growth will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or relating to our services.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to our services will not exceed the total fees paid by the client to Ridgestone Growth in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

Either party may terminate the engagement in accordance with the written agreement between them, or, where no term is specified, on reasonable written notice to the other party. We may suspend or terminate services if a client fails to pay amounts due, or uses our services in a manner that breaches these Terms or applicable law.

On termination, we will cease managing the client's advertising, and the client's authorization for us to access their connected advertising accounts ends. Fees incurred up to the date of termination remain payable.

Our handling of information is described in our Privacy Policy, which forms part of these Terms.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be communicated to affected clients.

These Terms are governed by the laws of Ontario, Canada, without regard to its conflict of laws rules. The courts located in Ontario, Canada will have jurisdiction over any dispute arising out of or relating to these Terms, subject to any mandatory rights you may have under applicable consumer protection law.
